Terms of Service

These Terms of Service ("Terms") govern access to and use of e-Ventrix Freight (the "Platform") at e-ventrixfreight.com, operated by Midway Logistics LLC ("Midway," "we," "us," or "our"). The Platform is the software Midway uses to conduct its freight brokerage business, including quoting, load management, carrier and customer coordination, documentation, invoicing, and payments. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Access to the Platform is limited to individuals authorized by Midway. This includes Midway employees and contractors, and the carriers, customers, and business partners Midway invites to use specific portal features — such as the carrier portal, customer portal, or a secure document or rate-confirmation link — in connection with freight Midway brokers. The Platform is not available for general public self-registration.

• You are responsible for safeguarding the credentials or secure links issued to you and for all activity that occurs under your account or access link.
• Notify us promptly at support@midwaylogisticsllc.com if you suspect unauthorized use of your account or access link.
• We may suspend or terminate access at our discretion, including for suspected misuse, security concerns, or at the end of a business relationship.

You agree not to:

• Use the Platform for any unlawful purpose.
• Submit false or misleading shipment, billing, or compliance information.
• Interfere with or disrupt the Platform’s operation, security, or integrity.
• Attempt to access data, loads, or accounts outside your authorized scope.

Loads, quotes, rate confirmations, documents (such as proof of delivery and carrier compliance records), invoices, and communications submitted through the Platform ("Freight Data") are used to run Midway's brokerage operations. By submitting Freight Data, you represent that it is accurate to the best of your knowledge.

Certain Platform features — for example, setting up carrier or vendor payments — involve exchanging financial information with Midway and with third-party banking and payment-verification providers. See our Privacy Policy for details on how this information is handled.

The Platform relies on third-party providers — including cloud hosting, email delivery, and bank-account verification services — to operate. Midway is not responsible for outages, errors, or issues that originate with a third-party provider outside our control.

The Platform, including its software, design, and content, is owned by Midway or its licensors. Nothing in these Terms transfers ownership of the Platform, or any part of it, to you.

The Platform is provided "as is" and "as available." Midway does not warrant that the Platform will operate uninterrupted or error-free.

To the maximum extent permitted by law, Midway will not be liable for indirect, incidental, special, or consequential damages arising from your access to or use of the Platform.

We may update these Terms from time to time. Continued use of the Platform after an update takes effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-law principles.
